Terms and Conditions of Sale
Effective Date: September 2026
These Terms and Conditions of Sale ("Terms") govern all quotations, proposals, sales, orders, and deliveries made by Core92, Inc. ("Core92," "Seller," "we," "our," or "us") to any customer ("Customer" or "Buyer"). By placing an order with Core92, Customer agrees to these Terms.
1. Quotations and Pricing
All quotations are valid through the expiration date shown on the quote unless otherwise stated.
Pricing is subject to product availability, manufacturer pricing changes, tariff changes, distributor cost adjustments, and clerical errors. Core92 reserves the right to correct pricing errors prior to order acceptance.
Quotes do not constitute a binding agreement until an order is accepted by Core92.
2. Order Acceptance
Orders may be submitted by Purchase Order, approved quotation acceptance, email authorization, website purchase, or other written authorization.
All orders are subject to acceptance by Core92.
Core92 reserves the right to refuse or cancel any order due to inventory shortages, pricing errors, suspected fraud, export restrictions, or other business considerations.
3. Payment Terms
Unless otherwise agreed in writing:
- Payment terms are Net 30 days for approved accounts.
- New customers may be required to prepay.
- Credit card transactions may be subject to processing fees where permitted by law.
- Past due balances may be subject to finance charges of up to 1.5% per month or the maximum rate allowed by law.
Customer agrees to pay all reasonable collection costs, including attorney fees, incurred in recovering overdue balances.
4. Shipping and Delivery
Shipping dates are estimates only and are not guaranteed.
Core92 is not liable for delays caused by:
- Manufacturers
- Distributors
- Freight carriers
- Customs delays
- Weather events
- Force majeure events
Risk of loss transfers to Customer upon delivery to the carrier unless otherwise agreed in writing.
Customers must inspect shipments upon receipt and report any transit damage within five (5) business days.
5. Product Availability
Inventory displayed on quotations, proposals, or websites may change without notice.
Products may be allocated or sold on a first-come, first-served basis.
Core92 is not responsible for manufacturer product discontinuations or end-of-life announcements.
6. Warranty
Products sold by Core92 may include manufacturer warranty coverage as provided by the applicable manufacturer.
Core92 does not provide additional express warranties beyond those specifically stated in writing.
Core92 will assist customers with warranty claims, Return Merchandise Authorizations (RMAs), replacement requests, and manufacturer support processes when applicable.
Warranty determinations remain subject to the applicable manufacturer's policies and approval.
7. Returns and Refunds
Core92 honors manufacturer warranty processes and will assist customers with eligible warranty claims.
Partner Deal Products
Products purchased through authorized manufacturer partner programs, special pricing agreements, opportunity registrations, or vendor-authorized deal registrations are subject to the applicable manufacturer warranty and return policies.
Core92 will assist customers with the RMA and warranty process; however, final approval for replacements, credits, repairs, or refunds remains subject to manufacturer determination.
New Open-Box and Excess Inventory Products
Returns, refunds, exchanges, and credits for:
- New open-box products
- Demo equipment
- Excess inventory
- Overstock products
- Special opportunities
are handled on a deal-by-deal basis at Core92's discretion.
Non-Returnable Items
Unless otherwise approved in writing, the following products are generally non-returnable:
- Software licenses
- Subscription services
- Digital entitlements
- Custom-configured equipment
- Special-order products
- Products altered by the customer
- Products damaged through misuse or improper installation
All returns require prior approval and a Core92-issued RMA number.
8. Limitation of Liability
To the fullest extent permitted by law, Core92's liability shall not exceed the purchase price paid for the product giving rise to the claim.
Core92 shall not be liable for:
- Lost profits
- Lost revenue
- Loss of data
- Business interruption
- Loss of goodwill
- Indirect damages
- Consequential damages
- Special damages
arising from the use or inability to use any product sold.
9. Technical Information
Specifications, compatibility information, product descriptions, and recommendations are believed to be accurate but are provided for informational purposes only.
Customers are responsible for verifying that products meet their requirements prior to purchase.
10. Export Compliance
Customer agrees to comply with all applicable United States export laws, sanctions, and regulations.
Products may not be exported, re-exported, transferred, or used in violation of applicable law.
11. Force Majeure
Core92 shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including:
- Natural disasters
- Labor disputes
- Transportation interruptions
- Supplier shortages
- Government actions
- Internet outages
- Cybersecurity incidents
- Acts of war or terrorism
12. Governing Law
These Terms shall be governed by and construed under the laws of the State of Minnesota, without regard to conflict-of-law principles.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Minnesota.
13. Entire Agreement
These Terms, together with any quotation, proposal, invoice, credit application, or signed agreement issued by Core92, constitute the complete agreement between the parties.
No modification shall be binding unless agreed to in writing by both parties.
